Terms of Service
These Terms of Service govern access to and use of the Cleverer platform and related services. By subscribing to, accessing, or using Cleverer, you agree to these terms.

1. Who we are and acceptance of these terms
Cleverer is operated by GenFit RealRewards Pty Ltd (ABN 28 600 349 648) trading as Cleverer. These Terms of Service apply to your access to and use of the Cleverer website, platform, subscription services, certificates, reports, and related functionality.
Acceptance
By accessing, subscribing to, or using Cleverer, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you are using Cleverer on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
2. What Cleverer provides
Cleverer is a subscription-based cyber compliance platform designed to help organisations assign, track, maintain, and evidence people-focused cyber compliance activities.
Training and role assignment
Cleverer supports role-based learning and compliance workflows for staff, managers, directors, and other authorised users within an organisation.
Tracking and reporting
Cleverer provides dashboards, reporting, compliance visibility, certificate records, secure sharing features, and related administrative tools.
Evidence and records
Cleverer is intended to help organisations maintain clearer oversight and records, but it does not constitute legal advice, regulatory certification, or a guarantee of compliance.
3. Eligibility and account responsibility
Cleverer is intended for business and organisational use. You must ensure that information provided when creating or administering an account is accurate and kept up to date.
Organisation accounts
The organisation subscribing to Cleverer is responsible for its account, billing details, team setup, user management, and the activities of authorised users operating under its subscription.
User responsibility
Users must keep login details secure, use the platform lawfully, and avoid any misuse, interference, unauthorised access attempt, or activity that undermines the integrity of the service.
4. Subscription plans, billing, and payment
Cleverer offers subscription access on either a monthly plan or an annual plan. Subscription fees are payable in advance for the selected billing period.
Monthly plans
Monthly subscriptions renew automatically each month unless cancelled before the next billing date. Once a billing period has started, that month is non-refundable except where required by law.
Annual plans
Annual subscriptions renew automatically each year unless cancelled before the next billing date. Annual fees are non-refundable after the applicable 14-day new customer guarantee period, except where required by law.
Payment processing
Payments are processed through third-party payment providers such as Stripe. You authorise Cleverer to charge the applicable subscription fees and any authorised renewal charges.
5. Refund policy and cancellation terms
Cleverer offers a 14-day money-back guarantee for new customers only. Outside that guarantee period, subscription fees are generally non-refundable except where required by law.

Important clarification
Cancelling a subscription stops future automatic renewal. It does not create a refund for the current paid period, unless a refund is available under the 14-day new customer guarantee or otherwise required by law.
6. Seat minimums, access, and service administration
Cleverer is intended for organisational use and is generally offered with a minimum of 5 seats. We may update, improve, modify, or maintain the service from time to time as part of ordinary platform operation.
Minimum seats
Cleverer is designed for business teams and is generally sold on the basis of a minimum 5-seat subscription.
Service updates
We may introduce changes, enhancements, fixes, security updates, reporting improvements, or operational adjustments to maintain and improve the platform.
Suspension rights
We may suspend or restrict access where reasonably necessary for non-payment, misuse, security concerns, unlawful conduct, or protection of the platform and its users.
7. Acceptable use restrictions
You must not misuse Cleverer or use it in a way that is unlawful, misleading, abusive, harmful to the platform, or inconsistent with these terms.
No unlawful or abusive use
You must not use the service for unlawful conduct, harassment, fraud, impersonation, or activity that infringes the rights of others.
No unauthorised access
You must not attempt to bypass security, probe vulnerabilities, interfere with system operation, or access accounts, data, or functionality without authorisation.
No integrity misuse
You must not misuse reports, certificates, secure links, verification features, or other platform outputs in a deceptive or misleading way.
8. Intellectual property and platform materials
Cleverer and its related content, design, workflows, text, platform structure, reports, certificates, branding, and other materials remain the property of Cleverer or its licensors unless otherwise stated.
Permitted use
Subject to these terms, Cleverer grants you a limited, non-exclusive, non-transferable right to access and use the platform for your organisation’s internal business purposes during an active subscription term. You must not copy, resell, reverse engineer, republish, or exploit platform materials except as permitted by law or with our prior written consent.
9. Service scope, disclaimers, and no legal advice
Cleverer is intended to support organisations in managing and evidencing elements of cyber compliance, but it is not a substitute for legal advice, regulatory advice, insurance advice, or a complete technical security program.
What Cleverer helps with
Cleverer helps organisations improve visibility, track people-focused compliance activity, maintain records, generate reports, and support evidence of ongoing compliance effort.
What Cleverer does not guarantee
Cleverer does not guarantee that your organisation is legally compliant, audit-proof, immune from incidents, or automatically compliant with any particular law, framework, or insurer requirement.
10. Limitation of liability
To the maximum extent permitted by law, Cleverer is not liable for indirect, incidental, special, consequential, or loss-of-profit damages arising out of or in connection with use of the service.
Liability cap
To the maximum extent permitted by law, Cleverer’s aggregate liability for claims arising out of or relating to the service will be limited to the fees paid by the customer to Cleverer for the service during the 12 months immediately preceding the event giving rise to the claim.
11. Suspension, termination, and post-termination access
We may suspend or terminate access where reasonably necessary for non-payment, misuse, security risk, breach of these terms, or protection of the platform and other users.
Non-payment
Access may be suspended or restricted if subscription fees are overdue or payment obligations are not met.
Breach or misuse
Access may be suspended or terminated where there is misuse, unauthorised activity, unlawful behaviour, or a material breach of these terms.
End of subscription
On cancellation or expiry, access may continue until the end of the current paid term, after which platform access may cease unless otherwise agreed.
12. Changes to these terms and governing law
We may update these Terms of Service from time to time. The latest version will be published on this page. Continued use of Cleverer after updated terms take effect constitutes acceptance of the revised terms.
Governing law
These terms are governed by the laws of Australia and, to the extent applicable, the laws of Queensland. You agree to submit to the non-exclusive jurisdiction of the courts of Queensland, Australia.
